Terms of Service

These Terms of Service ("Terms") govern your access to and use of Deja's websites, applications, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
1. Applicability and Acceptance
These Terms apply to individuals and entities that access or use the Services ("Users"). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization ("Customer") to these Terms.
2. Relationship Between You, the Customer, and Deja
The Customer controls its Vault, integrations, users, and subscription. Users access the Services under permissions granted by the Customer. Deja processes Customer Data to provide the Services in accordance with the Privacy Policy and applicable agreements.
3. Access, Accounts, and Integrations
To use core product features, Customers may connect third-party systems (for example: Jira, Slack, GitHub, Sentry, and similar authorized systems).
You are responsible for:
- providing accurate account and Vault information;
- maintaining account security and credentials;
- ensuring you have authority to connect third-party integrations.
Use of third-party services remains subject to those providers' terms and policies.
4. Data Ownership and Platform IP
Customer retains ownership of Customer Data, including source materials and operational records submitted through authorized integrations. Deja retains ownership of the Services, platform technology, product design, analytics models, documentation, and all related intellectual property.
No rights are granted except as expressly stated in these Terms.
5. AI Use and No-Training Commitment
Deja provides AI-assisted productivity and blocker visibility features. Deja does not use Customer Data to train shared foundation models. Where AI-enabled processing is used, Deja applies contractual and technical controls intended to restrict provider retention and prohibit model training on Customer Data, subject to provider terms and applicable law.
6. Permitted Use and Restrictions
You may use the Services only for lawful business purposes and in compliance with these Terms. You may not:
- reverse engineer, decompile, or attempt to extract source code from the Services;
- use the Services to build or benchmark a competing service in a prohibited manner;
- upload malicious code, abuse platform limits, or interfere with system integrity;
- access data or Vaults without authorization.
7. Privacy, Security, and Compliance
Deja implements administrative, technical, and organizational safeguards, including encryption in transit and at rest, access controls, and monitoring practices. Customer is responsible for configuring Vault permissions and managing authorized users. Details on personal data processing are set out in the Privacy Policy.
8. Fees, Billing, and Suspension
Paid plans, billing terms, renewal terms, and usage limits are defined in your order form, plan details, or subscription flow. If payment obligations are not met, Deja may suspend or limit access after reasonable notice, except where immediate action is required for security, fraud prevention, or legal compliance.
9. Term, Termination, and Data Handling
These Terms remain in effect while you use the Services. Either party may terminate as provided in applicable order terms. Upon termination or expiration:
- access may be disabled;
- Customer Data handling will follow the Privacy Policy, contract terms, and legal obligations;
- available export/transition capabilities may be provided for a limited period per applicable plan or agreement.
10. Disclaimers and Limitation of Liability
The Services are provided on an "as is" and "as available" basis except as expressly stated in a signed agreement. To the maximum extent permitted by law, Deja disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Deja is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, goodwill, or data. Deja's aggregate liability under these Terms is limited to the amount paid (or payable) by Customer for the Services during the 12 months preceding the event giving rise to liability, unless otherwise stated in a signed agreement.
11. General Terms
- Updates: Deja may update these Terms. Material changes will be posted with a revised effective date and, where required, additional notice.
- Governing Law: Unless otherwise specified in a signed agreement, these Terms are governed by applicable law in the agreed jurisdiction.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- Entire Agreement: These Terms, the Privacy Policy, and applicable order terms form the agreement between the parties for use of the Services.
